Terms of Service

1. Acceptance

By using vokka.studio, submitting an audit request, or engaging VOKKA Studio for services, you agree to these Terms of Service. If you do not agree, please refrain from using the site or submitting data.

2. Services & scope

• Site & audits: We provide informational content and optional free audits based on data you supply or publicly available data.
• Project work: Custom ecommerce builds, migrations, and related engineering as described in a mutually agreed proposal or SOW.
• Exclusions: Third-party fees (domains, hosting, CDNs, payment processors) are not included unless explicitly stated.

3. Client obligations

• Provide accurate and timely inputs (catalog data, access, approvals) needed to deliver milestones.
• Designate a single decision-maker to avoid delays.
• Ensure you have rights to all assets (content, data, trademarks) you provide.

4. Fees & payment

• Fees and milestones are defined in the proposal/SOW. Unless stated, fees are one-time for delivery.
• Invoices are due as specified (e.g., 50/50 or milestone-based). Late payments may pause work.
• Taxes, duties, and third-party costs are your responsibility unless explicitly included.

5. Intellectual property & code ownership

• Upon full payment, you receive ownership of custom code and deliverables described in the SOW.
• Pre-existing tools, libraries, or frameworks remain with their respective owners and are licensed under their terms.
• We may reuse non-confidential learnings and generic utilities that do not contain your proprietary data.

6. Confidentiality

Both parties agree to keep non-public information confidential and use it only to perform under these terms or an SOW. Exceptions apply where disclosure is required by law or information is already public.

7. Data protection

We handle personal data according to our Privacy Policy. If a data processing agreement is required for a project, it will be added to the SOW. We do not sell personal data.

8. Uptime, hosting, and support

• Hosting/CDN/monitoring are typically provisioned in your accounts for transparency and control.
• Support/SLA terms (if any) are defined in the proposal or support addendum; otherwise, post-launch support is not included by default.
• Performance targets depend on infrastructure, traffic mix, and data quality you provide.

9. Warranty & limitations

• Services are provided “as is” except where specific guarantees are stated in writing.
• We are not liable for indirect, incidental, or consequential damages, lost profits, or loss of data.
• Total liability is limited to the fees paid for the relevant services in the preceding 12 months.

10. Changes to these terms

We may update these terms to reflect legal, technical, or business changes. The “Last updated” date will change accordingly. Continued use of the site or services after changes means you accept the updated terms.

11. Termination

• Either party may terminate an SOW for material breach if not cured within a reasonable period after notice.
• Upon termination, you pay for work performed to date and retain ownership of completed, paid-for deliverables as defined in the SOW.

12. Governing law & disputes

These terms are governed by applicable local law of VOKKA Studio’s place of business unless otherwise specified in an SOW. Disputes will be handled in that jurisdiction, unless both parties agree otherwise in writing.
